Vendor’s Terms & Agreements

(Between Asamart – asamart.in and the Vendor)

This Vendor Agreement (“Agreement”) is entered into by and between:

1. Grocery and Food (referred to as “Platform”, “Website”, or “asamart.in”), operated by its authorized representative as first party.

2. The Vendor (individual or business registering on asamart.in to sell products) as second party.

By registering as a Vendor on gf.asamart.in, you (“Vendor”) acknowledge and agree to the following terms:

1. Responsibilities of the Vendor

1.1 The Vendor is solely responsible for product listing, pricing, inventory, packing, and delivery.
1.2 The Vendor guarantees that products sold are genuine, safe, and in proper condition at the time of delivery.
1.3 The Vendor will handle all customer complaints regarding non-delivery, damaged products, wrong products, or quality issues.
1.4 The Vendor will directly manage refunds, replacements, or exchanges with customers as per applicable laws.

2. Responsibilities of the Platform (asamart.in)

2.1 The Platform provides only the marketplace and technology to connect Vendors with Customers.
2.2 The Platform is not responsible for delays, product quality, damages, or refunds.
2.3 The Platform may assist in communication between Vendor and Customer but will not be held liable for disputes.

3. Customer Interaction

3.1 Customers must directly contact the Vendor for product-related issues.
3.2 The Vendor must respond to all customer complaints and queries promptly.

4. Payments & Commissions

4.1 All customer payments will be collected through the Platform’s payment gateway.
4.2 The Platform will deduct its commission/service fee (as per current policy) before transferring the balance to the Vendor.
4.3 Settlement of payments to Vendors will be done within [28 working days] after order completion/delivery confirmation.
4.4 If a refund is initiated, the Vendor will bear the refund amount and necessary charges.
4.5 In case of Cash on Delivery (COD) orders, the Vendor agrees that the Platform will settle collected cash after deducting commission and charges.

5. Liability & Indemnity

5.1 The Vendor agrees to indemnify and hold harmless gf.asamart.in from any claims, disputes, losses, damages, or legal actions arising from the Vendor’s products or services.
5.2 The Platform has the right to suspend or terminate the Vendor’s account in case of repeated complaints, fraud, or non-compliance.

6. Termination of Agreement

6.1 Either party may terminate this Agreement with prior written notice. First party can disable, hold, deactivate vendor’s account anytime if vendor violet any terms or does not follow website guidelines.
6.2 Any pending orders, payments, or disputes must be settled before termination becomes effective.

7. Acceptance of Terms

By registering as a Vendor on gf.asamart.in, you confirm that you have read, understood, and agree to be legally bound by this Vendor Agreement.
